ICOP Board

Governance Structure

The Institute for Certified Outsourcing Professionals (ICOP) is governed by the Council, the highest decision-making body. The Council comprises the President, Vice President, and Institute Committee Members.

Council Members

  • Council: The Council is responsible for setting the strategic direction of the ICOP.
  • President: As the head of the Institute, the President chairs the Council and leads the Executive Committee.
  • Vice President: Supports the President in day-to-day operations and assumes presidential duties in the President’s absence.
  • Institute Committee Members: Members of the Council elected to represent various constituencies and contribute to decision-making.
  • Executive Committee: A subset of the Council, responsible for operational decisions and implementing Council directives.

Executive Committee

  • Education/Quality Assurance Committee: Oversees curriculum development, assessment standards, and quality assurance processes.
  • Membership Committee: Manages membership applications, criteria, and benefits.
  • Ethics and Disciplinary Committee: Enforces ethical conduct and handles disciplinary matters.
  • Training and Consultancy Committee: Develops and delivers training programs and consultancy services.
  • Events Committee: Organizes and manages Institute events and activities.

The ICOP operates as both an awarding body and a professional membership organization. Quality assurance is a critical component of the Institute's operations. The President plays a vital role in maintaining the integrity of the Institute's awards.

ICOP Members

Code of Conduct

The Code of Conduct sets out the professional standards required by ICOP as a condition of membership. It applies to all members, regardless of their membership grade, the role they fulfill, or the jurisdiction where they are employed or discharge their contractual obligations. This Code governs the conduct of individuals as Business Process and Shared Services Professionals. Members are expected to exercise their own judgment (reasonably justified) to meet the requirements of the Code and seek advice if in doubt.

Guiding Principles

All members of the Institute, in pursuing the profession of business process outsourcing and shared services, shall:

  • Maintain and demonstrate professional knowledge, competence, and ethical behavior through continuous development and insightful service in all business, professional, and personal activities.
  • Discharge duties and responsibilities with fairness, establishing, maintaining, and developing business relationships based on confidence, trust, and respect.
  • Represent the profession and respect the laws of the land.
  • Promote and boost acceptable processes while exhibiting personal leadership as a role model for maintaining the highest standards of ethical conduct.
  • Ensure that professional judgment is not compromised nor perceived as being compromised because of bias or undue influence from others.

Breaches of the Code of Conduct

If a member of ICOP becomes aware of any breach of this Code of Conduct by another member, they are obligated to notify ICOP. Breaches of the Code of Conduct may also be brought to the attention of ICOP by non-members. Any breach of the Code of Conduct brought to the attention of ICOP, or of which ICOP becomes aware, will be considered under the Institute’s Disciplinary procedures.
